1. About these Terms

These Terms of Service govern access to and use of the website currently branded as fritz.ie // The Arena and all related pages, payment flows, APIs, moderation tools, reporting tools, refresh tools, preview systems, and associated services operated by Johannes Wegemann, trading as fritz.ie ("Operator", "we", "us", "our").

By accessing the site, previewing a slot, submitting a bid, making a payment, purchasing, using, or continuing to use a slot, or otherwise using any part of the service, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not use the service.

2. Nature of the Service

fritz.ie operates a limited-slot paid placement platform. Users may submit a URL, a short display text, and a bid amount in order to occupy one of a small number of visible placements on the site.

The service is a paid, competitive, revocable digital placement service. It is not a guaranteed advertising network, not a publishing partnership, not an auction house in the regulated legal sense, not a marketplace for goods, and not a promise of fixed-duration exclusive display.

A slot may be replaced, removed, suspended, disabled, hidden, or refused in accordance with these Terms.

3. Eligibility

You may use the service only if:

• you are at least 18 years old and legally capable of entering into a binding contract;
• you have full authority to submit the URL, text, and content you provide;
• your use of the service is lawful in your jurisdiction and in ours;
• the content, URL, and associated destination do not violate these Terms.

If you use the service on behalf of a company, creator, brand, or any third party, you represent and warrant that you are authorised to bind that person or entity.

4. How the Slot System Works

The service currently offers a limited number of display slots on the site.

Each slot is governed by the following general rules:

• the current displayed price for a slot is shown on the site;
• a valid new bid must meet or exceed the minimum overbid requirement shown on the site;
• once a valid payment is completed and accepted by us, the slot may be updated with the submitted URL, display text, and preview data;
• after activation, a slot may be temporarily locked for a short anti-race period determined by the Operator;
• after the lock expires, the slot may be displaced by a higher valid bid;
• a slot may also expire automatically after the maximum active term determined by the Operator;
• no user is guaranteed uninterrupted display for any minimum period unless expressly stated by us in writing.

For the avoidance of doubt, the service is intentionally competitive. Purchasing a slot does not create exclusivity, permanence, property rights, lease rights, priority rights beyond the current active state of the slot, or any expectation that your placement will remain live for a particular amount of time.

5. Contract Formation

A legally binding contract is formed only when:

1. you submit the required information;
2. you complete payment through our payment processor;
3. the payment is successfully authorised and captured or otherwise successfully settled; and
4. we do not reject, reverse, cancel, suspend, or refuse the transaction under these Terms.

We reserve the right to reject any attempted purchase, bid, placement, URL, text, or user at any time before or after payment where we reasonably consider it necessary to protect the service, comply with law, protect users, enforce these Terms, reduce risk, or preserve the integrity of the platform.

6. User Content, URL Submissions, and Warranties

You are solely responsible for every URL, destination page, redirect chain, display text, image, claim, brand reference, statement, implied message, preview, and all other content or metadata associated with your slot.

You represent, warrant, and undertake that:

• you own or control all rights necessary for the content you submit and the destination you link to;
• your submission and destination do not infringe any intellectual property, privacy, publicity, confidentiality, contract, database, consumer, competition, or other rights;
• your content is accurate and not misleading;
• your content is not defamatory, libellous, harassing, threatening, abusive, hateful, discriminatory, obscene, pornographic, exploitative, invasive of privacy, or otherwise unlawful;
• your content does not promote or facilitate fraud, scams, phishing, malware, spyware, deception, impersonation, counterfeit goods, misleading financial schemes, illegal gambling, illegal drugs, weapons sales, human exploitation, terrorism, or any illegal activity;
• your destination does not install code, perform malicious redirects, harvest data unlawfully, or otherwise create security, legal, or reputational risk;
• you will promptly update or remove any content if we require it.

You remain solely liable for the destination and all content reachable through it, including content that changes after your slot goes live.

7. Strictly Prohibited Content

Without limiting our discretion, the following are prohibited:

• unlawful content of any kind;
• malware, phishing, credential theft, social engineering, spyware, ransomware, exploit kits, or unwanted software;
• defamatory or reputation-damaging material;
• impersonation, passing off, fake endorsements, or misleading affiliation claims;
• deceptive pricing, fake offers, false urgency, or misleading commercial practices;
• content that infringes copyright, trade marks, database rights, publicity rights, or privacy rights;
• revenge porn, sexual exploitation, child sexual abuse material, or sexual services;
• extremist, terrorist, violent, hateful, or discriminatory content;
• doxxing, targeted harassment, threats, or intimidation;
• illegal goods, illegal services, or unlawful jurisdictions-only offers;
• content likely to expose the Operator to civil, criminal, regulatory, payment-processor, platform, or reputational risk.

We may determine, in our sole discretion, whether content falls into any prohibited category.

8. Screening, Verification, and Monitoring

We may, but are not obliged to, screen URLs, preview metadata, redirects, destination pages, user inputs, transaction histories, IP data, device/browser data, abuse signals, or other indicators before, during, or after activation.

We may use automated tools, third-party services, malware or URL reputation services, manual review, reporting mechanisms, or internal moderation criteria to assess risk.

Passing a preview check, malware scan, or payment review does not mean that content is approved, endorsed, lawful, safe, compliant, or immune from future removal.

9. Operator Rights to Refuse, Remove, Suspend, or Replace

We may at any time, with or without prior notice, and with or without explanation:

• reject a bid or payment;
• refuse to activate a slot;
• suspend, hide, disable, or remove a slot;
• replace preview data;
• block access to a submitted destination;
• reset a slot;
• freeze a slot pending review;
• limit or block a user, IP, account, payment method, region, or device;
• retain records relevant to fraud prevention, disputes, chargebacks, complaints, legal claims, or law enforcement requests.

We may exercise these rights for any reason connected to legality, safety, fraud prevention, payment risk, abuse, technical stability, user complaints, reputational risk, policy enforcement, suspected bad faith, inaccurate information, or breach of these Terms.

10. No Editorial Approval or Endorsement

A slot being displayed on fritz.ie does not mean that we approve, verify, monitor, endorse, recommend, or adopt the linked content, the user behind it, or any claim associated with it.

The Operator acts solely as a provider of the placement infrastructure and reserves all moderation rights. No slot holder may represent or imply that their placement has been vetted, endorsed, certified, sponsored, or approved by the Operator unless the Operator has given prior written consent.

11. Preview Data and Metadata

The service may generate or display previews based on destination metadata, scraped data, public page information, platform-specific fields, icons, thumbnails, titles, descriptions, or other machine-derived data.

You acknowledge and agree that:

• previews may be incomplete, inaccurate, outdated, truncated, reformatted, or substituted;
• we may store, cache, refresh, regenerate, or replace preview data;
• we are not responsible if a third-party site changes its metadata, image, title, description, handle, or any other preview element;
• preview generation is a technical convenience only and not a contractual guarantee.

12. Payment Processor

Payments are processed through third-party providers, including Stripe or any replacement processor chosen by us.

By submitting payment, you also agree to the relevant payment processor’s terms, policies, and fraud controls.

We do not store full card details unless expressly stated otherwise. We may receive payment status, transaction identifiers, limited billing information, and fraud/risk signals from our processor.

13. Pricing and Bidding

All prices shown on the site are in the currency displayed on the site unless expressly stated otherwise.

By submitting a bid and completing checkout, you authorise payment of the full amount shown at checkout.

You may not reverse-engineer, manipulate, script, automate, spoof, or interfere with pricing, bids, slot state, lock state, payment flow, or preview generation.

We may cancel or reverse any transaction affected by obvious pricing error, technical fault, abuse, duplicate processing, fraud, payment reversal, or unauthorised use.

14. No Refunds After Activation

Because the service is an immediately performed, user-directed digital placement service that is activated on your express request and tied to your chosen slot, URL, display text, and associated destination, all completed and activated purchases are final and non-refundable, except where mandatory law requires otherwise.

By placing a paid order, you expressly request immediate performance of the service. You also expressly acknowledge and agree that, once performance of the service has begun and/or where the service has been fully performed within the meaning of applicable law, you may lose your statutory right of withdrawal or cancellation.

No refund, credit, offset, reimbursement, or goodwill payment is owed merely because:

• your slot is later displaced by a higher valid bid;
• the slot expires in accordance with the service rules;
• your linked page changes, breaks, redirects, or performs poorly;
• the preview data changes or is refreshed;
• you are dissatisfied with commercial results, visibility, clicks, traffic, conversions, or duration;
• your payment was made intentionally and the service was activated as requested.

Nothing in this clause excludes any mandatory statutory rights or remedies that cannot lawfully be excluded.

15. Consumer Withdrawal, Immediate Performance, and Express Consent

If you are a consumer and mandatory law grants you a right of withdrawal or cancellation for distance service contracts, you expressly request us to begin providing the service immediately upon successful payment and activation.

Before completing your order, you must actively confirm:

• that you want the service to begin immediately; and
• that you understand that you may lose your statutory right of withdrawal once the service has been fully performed, or to the extent permitted by applicable law once performance has begun at your express request.

You acknowledge that the service is not a passive reservation. It is a live, competitive, user-directed placement service that begins through technical and operational steps immediately after successful payment, including but not limited to validation, preview generation, slot assignment, activation, temporary lock processing, storage of placement data, and public display.

Where mandatory law still grants you a right to cancel in a particular case, that right may only be exercised in accordance with the applicable law, within the applicable deadline, and subject to any lawful deductions or limitations that apply to services already performed at your express request.

16. No Guaranteed Duration, Visibility, Reach, or Performance

We do not guarantee:

• any minimum duration of display;
• uninterrupted occupancy;
• immunity from replacement by a higher bid;
• visibility to any minimum number of users;
• clicks, traffic, conversions, reach, engagement, sales, revenue, rankings, or audience quality;
• compatibility with ad blockers, browser settings, caching systems, security tools, crawlers, or device-specific rendering;
• that the service will be available continuously or error-free.

Use of the service is at your own commercial risk.

17. Expiry, Reset, and Slot Lifecycle

We may apply time limits, expiry periods, lock periods, reset events, maintenance windows, or lifecycle rules to any slot.

A slot may be reset or cleared when:

• its maximum active period expires;
• a higher valid bid replaces it;
• payment is reversed or disputed;
• content is removed under these Terms;
• a technical, legal, or moderation event requires reset;
• the Operator decides, in good faith, that continued display is undesirable or unsafe.

No compensation is due for lawful reset, suspension, or removal except where mandatory law expressly requires otherwise.

18. Reporting, Complaints, and Enforcement

We may provide a report mechanism, complaint channel, abuse system, or moderation intake process. We are entitled to rate-limit, log, review, ignore, prioritise, escalate, or act upon reports in our sole discretion.

We may act on reports submitted through the platform, by email, through payment processors, hosting providers, law enforcement, regulators, rights holders, or other third parties.

We may notify payment processors, hosting providers, registrars, law enforcement, regulators, injured parties, or professional advisers where reasonably necessary.

We may preserve server logs, payment records, IP addresses, report data, timestamps, preview data, submitted URLs, transaction data, and moderation records for enforcement, dispute resolution, legal compliance, and platform protection.

18A. Illegal Content Reports and Legal Complaints

Users, rights holders, affected persons, regulators, and other complainants may report allegedly illegal, infringing, defamatory, abusive, fraudulent, or otherwise prohibited slot content by using the on-site reporting function, where available, or by emailing:

Reports should include sufficient detail to identify the relevant slot, the nature of the complaint, the legal or factual basis of the complaint, and any supporting material reasonably necessary for review.

The Operator may investigate, ignore, prioritise, escalate, request further information, remove content, suspend a slot, preserve records, or take any other action the Operator considers appropriate in its sole discretion.

Submission of a report does not guarantee removal, response time, or any particular enforcement action.

19. Intellectual Property and Licence

As between you and us, you retain ownership in content you lawfully own.

You grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable licence for the duration of the placement and any reasonable archival, evidential, moderation, dispute, and backup period thereafter to:

• host, copy, cache, process, reproduce, display, transmit, format, crop, resize, store, refresh, and use your submitted URL, text, preview data, associated images, and related materials;
• use the same for operation, moderation, fraud prevention, technical processing, backups, legal compliance, dispute defence, and service improvement.

You waive, to the extent permitted by law, any claim that normal technical formatting, previewing, truncation, caching, or moderation of your material infringes your moral or similar rights.

20. User Indemnity

You agree to indemnify, defend, and hold harmless the Operator, its owners, officers, employees, contractors, processors, hosting providers, advisers, and affiliates from and against all claims, complaints, actions, proceedings, investigations, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the service;
• your URL, destination, text, or content;
• your breach of these Terms;
• infringement of third-party rights;
• defamation, passing off, consumer claims, IP claims, privacy claims, or regulatory complaints connected to your slot;
• fraud, malware, scams, abuse, or unlawful conduct connected to your submission.

21. Disclaimer of Warranties

To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis.

We make no warranty or representation, express or implied, regarding:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted operation;
• error-free operation;
• continuous availability;
• security;
• accuracy of previews or metadata;
• suitability for advertising, business, or commercial outcomes.

Nothing in these Terms excludes any non-excludable rights you have under applicable law.

22. Limitation of Liability

To the maximum extent permitted by law:

• the Operator shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages;
• the Operator shall not be liable for loss of profit, revenue, goodwill, business opportunity, anticipated savings, data, reputation, audience, or commercial value;
• the Operator shall not be liable for user-generated or third-party content, linked destinations, redirects, third-party platform changes, payment processor actions, search engine behaviour, or social platform behaviour;
• the Operator’s total aggregate liability arising out of or relating to any slot, purchase, or dispute shall not exceed the amount actually paid by you to the Operator for the specific disputed slot placement giving rise to the claim.

This limitation does not exclude liability where exclusion is unlawful, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence where such liability cannot lawfully be excluded.

23. Chargebacks, Payment Disputes, and Fraud

You must not initiate a chargeback, reversal, dispute, or payment claim in bad faith.

If you initiate a chargeback or payment dispute, we may:

• suspend or remove your slot;
• block future use;
• submit records, logs, preview data, IP data, and transaction records to the processor or relevant authority;
• recover our direct costs, fees, and losses to the extent permitted by law.

24. Data, Logs, and Compliance

We may process technical and transactional data necessary to operate the service, including slot submissions, URLs, preview data, transaction IDs, IP addresses, timestamps, report data, and abuse indicators.

Use of the service is also governed by our Privacy Policy and any Cookie Policy, where applicable.

25. Amendments to the Service and Terms

We may modify, suspend, withdraw, redesign, reprice, or discontinue any part of the service at any time.

We may amend these Terms by publishing an updated version with a new effective date. The version in force at the time of your purchase will generally govern that purchase, except where a change is required by law, security necessity, processor requirements, or platform integrity.

26. Termination

We may suspend or terminate your access immediately if:

• you breach these Terms;
• we suspect fraud, abuse, or unlawful conduct;
• your payment fails, is reversed, or becomes disputed;
• your content creates legal, technical, or reputational risk;
• continued access is no longer commercially or operationally appropriate.

Termination does not affect accrued rights, payment obligations, indemnities, evidence preservation rights, or clauses intended to survive termination.

27. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of Ireland.

If you are a consumer resident in the EU, you may also enjoy mandatory rights and protections under the law of your country of residence that cannot be waived by these Terms.

Subject to mandatory consumer law, the courts of Ireland shall have exclusive jurisdiction over disputes arising from or connected with these Terms or the service.

28. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, the remainder shall remain in full force and effect. Any invalid provision shall be interpreted, where possible, to reflect its commercial purpose as closely as permitted by law.

29. No Waiver

Failure by the Operator to enforce any right or provision shall not constitute a waiver of that right or provision.

30. Entire Agreement

These Terms, together with any incorporated policies, constitute the entire agreement between you and the Operator concerning the service, except for any written agreement expressly signed by the Operator.
