1. About these Terms

These Terms of Service govern access to and use of the website currently branded as fritz.ie // The Arena and all related pages, payment flows, APIs, moderation tools, reporting tools, refresh tools, preview systems, and associated services operated by Johannes Wegemann, trading as fritz.ie ("Operator", "we", "us", "our").

By accessing the site, previewing a slot, submitting a bid, making a payment, purchasing, using, or continuing to use a slot, or otherwise using any part of the service, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not use the service.

2. Nature of the Service

fritz.ie operates a limited-slot paid placement platform. Users may submit a URL, a short display text, and a bid amount in order to occupy one of a small number of visible placements on the site.

The service is a paid, competitive, revocable digital placement service. It is not a guaranteed advertising network, not a publishing partnership, not an auction house in the regulated legal sense, not a marketplace for goods, and not a promise of fixed-duration exclusive display.

A slot may be replaced, removed, suspended, disabled, hidden, or refused in accordance with these Terms.

3. Eligibility

  2. you complete payment through our payment processor;
  3. the payment is successfully authorised and captured or otherwise successfully settled; and
  4. we do not reject, reverse, cancel, suspend, or refuse the transaction under these Terms.

We reserve the right to reject any attempted purchase, bid, placement, URL, text, or user at any time before or after payment where we reasonably consider it necessary to protect the service, comply with law, protect users, enforce these Terms, reduce risk, or preserve the integrity of the platform.

6. User Content, URL Submissions, and Warranties

You are solely responsible for every URL, destination page, redirect chain, display text, image, claim, brand reference, statement, implied message, preview, and all other content or metadata associated with your slot.

You represent, warrant, and undertake that:

8. Screening, Verification, and Monitoring

We may, but are not obliged to, screen URLs, preview metadata, redirects, destination pages, user inputs, transaction histories, IP data, device/browser data, abuse signals, or other indicators before, during, or after activation.

We may use automated tools, third-party services, malware or URL reputation services, manual review, reporting mechanisms, or internal moderation criteria to assess risk.

Passing a preview check, malware scan, or payment review does not mean that content is approved, endorsed, lawful, safe, compliant, or immune from future removal.

9. Operator Rights to Refuse, Remove, Suspend, or Replace

We may at any time, with or without prior notice, and with or without explanation:

We may exercise these rights for any reason connected to legality, safety, fraud prevention, payment risk, abuse, technical stability, user complaints, reputational risk, policy enforcement, suspected bad faith, inaccurate information, or breach of these Terms.

10. No Editorial Approval or Endorsement

A slot being displayed on fritz.ie does not mean that we approve, verify, monitor, endorse, recommend, or adopt the linked content, the user behind it, or any claim associated with it.

The Operator acts solely as a provider of the placement infrastructure and reserves all moderation rights. No slot holder may represent or imply that their placement has been vetted, endorsed, certified, sponsored, or approved by the Operator unless the Operator has given prior written consent.

11. Preview Data and Metadata

The service may generate or display previews based on destination metadata, scraped data, public page information, platform-specific fields, icons, thumbnails, titles, descriptions, or other machine-derived data.

Payments are processed through third-party providers, including Stripe or any replacement processor chosen by us.

By submitting payment, you also agree to the relevant payment processor’s terms, policies, and fraud controls.

We do not store full card details unless expressly stated otherwise. We may receive payment status, transaction identifiers, limited billing information, and fraud/risk signals from our processor.

13. Pricing and Bidding

All prices shown on the site are in the currency displayed on the site unless expressly stated otherwise.

By submitting a bid and completing checkout, you authorise payment of the full amount shown at checkout.

You may not reverse-engineer, manipulate, script, automate, spoof, or interfere with pricing, bids, slot state, lock state, payment flow, or preview generation.

We may cancel or reverse any transaction affected by obvious pricing error, technical fault, abuse, duplicate processing, fraud, payment reversal, or unauthorised use.

14. No Refunds After Activation

Because the service is an immediately performed, user-directed digital placement service that is activated on your express request and tied to your chosen slot, URL, display text, and associated destination, all completed and activated purchases are final and non-refundable, except where mandatory law requires otherwise.

By placing a paid order, you expressly request immediate performance of the service. You also expressly acknowledge and agree that, once performance of the service has begun and/or where the service has been fully performed within the meaning of applicable law, you may lose your statutory right of withdrawal or cancellation.

No refund, credit, offset, reimbursement, or goodwill payment is owed merely because:

15. Consumer Withdrawal, Immediate Performance, and Express Consent

If you are a consumer and mandatory law grants you a right of withdrawal or cancellation for distance service contracts, you expressly request us to begin providing the service immediately upon successful payment and activation.

Before completing your order, you must actively confirm:

It is a live, competitive, user-directed placement service that begins through technical and operational steps immediately after successful payment, including but not limited to validation, preview generation, slot assignment, activation, temporary lock processing, storage of placement data, and public display.

Where mandatory law still grants you a right to cancel in a particular case, that right may only be exercised in accordance with the applicable law, within the applicable deadline, and subject to any lawful deductions or limitations that apply to services already performed at your express request.

16. No Guaranteed Duration, Visibility, Reach, or Performance

We do not guarantee:

17. Expiry, Reset, and Slot Lifecycle

We may apply time limits, expiry periods, lock periods, reset events, maintenance windows, or lifecycle rules to any slot.

A slot may be reset or cleared when:

18. Reporting, Complaints, and Enforcement

We may provide a report mechanism, complaint channel, abuse system, or moderation intake process. We are entitled to rate-limit, log, review, ignore, prioritise, escalate, or act upon reports in our sole discretion.

We may act on reports submitted through the platform, by email, through payment processors, hosting providers, law enforcement, regulators, rights holders, or other third parties.

We may notify payment processors, hosting providers, registrars, law enforcement, regulators, injured parties, or professional advisers where reasonably necessary.

We may preserve server logs, payment records, IP addresses, report data, timestamps, preview data, submitted URLs, transaction data, and moderation records for enforcement, dispute resolution, legal compliance, and platform protection.

18A. Illegal Content Reports and Legal Complaints

Users, rights holders, affected persons, regulators, and other complainants may report allegedly illegal, infringing, defamatory, abusive, fraudulent, or otherwise prohibited slot content by using the on-site reporting function, where available, or by emailing:

Reports should include sufficient detail to identify the relevant slot, the nature of the complaint, the legal or factual basis of the complaint, and any supporting material reasonably necessary for review.

The Operator may investigate, ignore, prioritise, escalate, request further information, remove content, suspend a slot, preserve records, or take any other action the Operator considers appropriate in its sole discretion.

Submission of a report does not guarantee removal, response time, or any particular enforcement action.

19. Intellectual Property and Licence

As between you and us, you retain ownership in content you lawfully own.

You grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable licence for the duration of the placement and any reasonable archival, evidential, moderation, dispute, and backup period thereafter to:

You agree to indemnify, defend, and hold harmless the Operator, its owners, officers, employees, contractors, processors, hosting providers, advisers, and affiliates from and against all claims, complaints, actions, proceedings, investigations, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

25. Amendments to the Service and Terms

We may modify, suspend, withdraw, redesign, reprice, or discontinue any part of the service at any time.

We may amend these Terms by publishing an updated version with a new effective date. The version in force at the time of your purchase will generally govern that purchase, except where a change is required by law, security necessity, processor requirements, or platform integrity.

We may suspend or terminate your access immediately if:

27. Governing Law and Jurisdiction

If any provision of these Terms is held unlawful, invalid, or unenforceable, the remainder shall remain in full force and effect. Any invalid provision shall be interpreted, where possible, to reflect its commercial purpose as closely as permitted by law.

29. No Waiver

Failure by the Operator to enforce any right or provision shall not constitute a waiver of that right or provision.

30. Entire Agreement

These Terms, together with any incorporated policies, constitute the entire agreement between you and the Operator concerning the service, except for any written agreement expressly signed by the Operator.
